Anne O. Faulk
Founder, Chairman, and Chief Executive Officer
Ms. Faulk has been active in the proxy services business since the Department of Labor declared the voting of proxies to be a fiduciary act in 1988. As the founder, Chairman and CEO of Faulk & Co., she helped shape the accepted standard in corporate governance policies, created the voting agent business and acted as proxy advisor or named fiduciary for many of the largest equity portfolios in the US. Ms. Faulk is responsible for many of the innovations currently enjoyed by the industry including the industry’s original electronic proxy voting system in a joint venture with ADP, the electronic delivery of proxy analysis and recommendations. In 1992, Ms. Faulk sold F&C to its major competitor, Institutional Shareholder Services, now RiskMetrics/ISS.
In 2007, Ms. Faulk was granted a Patent for the electronic delivery and distribution of a solicitation for votes on shareholder issues. Having worked with and developed products and services for many in the proxy process, she brings a unique perspective to the needs and concerns of all of the participants. She is an author of two books and a frequent speaker on corporate communication.

Diana Bourke
President and Chief Operating Officer
Ms. Bourke has over 30 years business experience with a focus on driving quality
and efficiency through technology and operations. Before joining Swingvote, she was the EVP and General Manager of Voting and
Transaction Processing Services for Institutional Shareholder Services (ISS). In this role, she was responsible for all P&L and
operations responsibilities for Vote Agency Services (domestic and international), Global Proxy Distribution Services, and
Securities Class Action Services. While with ISS Ms. Bourke was a frequent participant on industry panels and a speaker at conferences for the RMA,
ISLA, The Securities Operation Forum and IMN.
Prior to joining ISS, Ms. Bourke was Chief Information Officer and SVP of Operations for CIGNA Health Services, President and COO of SCP
Communications (a medical communications company), SVP of Systems and Operations for ACNielsen, and CEO of NCH Promotional Services.
Early in her career Ms. Bourke also served in a variety of technology roles with Heller Financial and International Harvester. She is a Summa Cum
Laude, Phi Beta Kappa graduate of the University of Notre Dame with a double major in Economics and Philosophy.

Strickland
Senior Vice President of Development
Mr. Strickland has 16 years of experience in the software
and IT field, he has amassed a wealth of knowledge and
experience about the software development process. Mr.
Strickland joined Swingvote from ThreeWill Consulting.
Prior to that, he worked at Manhattan Associates in
technology management positions. Previously, Mr. Strickland
served as Vice President of Development for 1WebPlace.
He started his career at Master Foods USA. He received
a Bachelor of Science in Information and Computer Science
from the Georgia Institute of Technology. |

Carolina
Menezes
Senior Vice President of Business Development
Mrs. Menezes has 10 years of experience in investment
banking including strategic planning, raising capital,
and growing market share for technology companies in
the United States, Europe, and Latin America. Mrs. Menezes
earned a B.A. in Business Administration from the University
of South Florida, graduating with Magna Cum Laude honors.

C. P. “Pat”
Chappell
Senior Vice President of Strategic Relationships
Mr. Chappell has over 25 years experience in high-tech
sales, marketing, and management. Previously, Mr. Chappell
was Senior Vice President of Sales & Marketing for
Contractor Anywhere, a software developer. He founded
Softsellers Southeast, The Strategies Group, and was
also one of the founding members of The Training Group.
He received a B.A. in Political Science from Clemson
University. |

Stephen J. Guess
Senior Vice President of Administration
Mr. Guess brings extensive experience in strategizing financial controls to create greater efficiency and profitability to Swingvote. Prior to joining Swingvote, Mr. Guess was an International Accountant for Outback Steakhouse International, assisting sales growth from $6mm to $35mm in 36 months.
With significant experience with small businesses, Mr. Guess was also successful at Redwood International as the Internal Auditor responsible for implementing business and functional accounting practices for all retail exchanges in the company’s international operations. Mr. Guess holds a Bachelors of Arts degree in business from Christian Brothers University. |
